Beneficial owner and anti-money laundering rules for small companies in Qatar

What Qatar’s anti-money laundering rules ask of a small company: identifying the beneficial owner, keeping the records up to date, and what the bank will ask.

In short

A beneficial owner is the natural person who ultimately owns or controls a company. In Qatar, that is anyone holding at least 20% of the capital or voting rights, directly or indirectly. A commercial company declares its beneficial owners with each CR application, keeps a register of them, and reports changes within 30 days.

Who a beneficial owner is

The partners named in the memorandum of association are the legal owners. The beneficial owner is the person behind them: always a natural person, never a company, who ultimately owns or actually controls the company, or on whose behalf its dealings are carried out. Qatar’s Anti-Money Laundering and Terrorism Financing Law, Law No. 20 of 2019, uses this definition, and the Unified Economic Register Law, Law No. 1 of 2020, applies it to every company the Ministry of Commerce and Industry (MOCI) registers.

The Executive Regulations of the Unified Economic Register Law set a test in three steps. Each step applies only if the one before it does not identify anyone.

  1. Ownership

Each natural person who owns, directly or indirectly, at least 20% of the capital or of the voting rights.

  2. Control

If no one qualifies, or there is doubt, each natural person who controls the company by other means, such as the power to appoint or remove most of its managers.

  3. Representation

If still no one is found, the natural person who legally represents the company, such as its manager.

“Indirectly” is the word that catches holding structures. If a Qatar LLC is 60% owned by a company abroad, the register looks through that company to the people who own it. A person with 40% of the foreign parent has an indirect stake of 24% in the Qatar company, above the 20% line. Banks use the same 20% figure in their own checks.

What the company must record

MOCI Decision No. 2 of 2022 applies to the commercial companies listed in the Commercial Companies Law, from formation to liquidation; only the joint venture (sharikat al-muhasa) is excluded. It requires each company to keep three registers, on paper and electronically, at its head office or at another place it notifies to the Ministry.

Basic information

Name, legal form, status, registered office, the founding documents and the list of managers who may sign for the company.

Beneficial owners

The details the Regulations list for each beneficial owner, with the documents that support them.

Partners or shareholders

Names, nationalities, addresses, shares held, classes of shares and the voting rights attached, and every change.

For each beneficial owner

  • Full name as on the ID or passport, date and place of birth, and nationality or nationalities.
  • Address as on the official document.
  • QID number for Qataris and residents; passport number for others; issue and expiry dates.
  • The date the person became a beneficial owner.
  • The percentage held, or how control is exercised if not through shares.
  • The date the register was last updated.

The company also names at least one natural person resident in Qatar who is authorised to provide the information and assist the authorities, and tells the Ministry who that is as soon as the person is appointed. Whatever it names, the manager or chairman remains answerable for the registers. Bearer shares are not allowed for any legal person formed in Qatar.

Updating the records

Most of the work comes at three moments: when the company is formed, when its CR is renewed or amended, and when its ownership changes. The Unified Economic Register Law says an application to register, amend or renew is not accepted without a complete beneficial owner declaration on the Ministry’s form. On the Single Window, declaring the beneficial owner is a condition for completing the company’s establishment.

From Law No. 1 of 2020 (Art. 4), Cabinet Decision No. 12 of 2020 (Arts. 5, 6 and 12) and MOCI Decision No. 2 of 2022 (Arts. 4, 11 and 12), checked 21 Oct 2026.

The records outlive the company. The manager or chairman keeps them for at least ten years after the company ends, and a liquidator keeps them, with the liquidation records, for the same period. The Ministry may inspect the registers at any time and take copies. The General Tax Authority can also ask a company to identify its legal and beneficial owners, with an answer due within 30 days.

What banks ask for

The bank runs its own checks, separately from the Ministry. Article 11 of the AML Law requires it to identify and verify the company, anyone acting for it and their authority, and the beneficial owner, using original documents or data from an independent and reliable source. If it cannot, it must not open the account. The Executive Regulations spell out what it collects for a company.

The company

Name, legal form, proof of incorporation, the documents that govern it, its senior managers, and its registered and main business addresses.

Who acts for it

The identity of each signatory and proof of the authority they hold.

Who owns it

The ownership and control structure, up to each person with 20% or more.

What it does

The nature of the business and the purpose of the account.

Source of funds

Where the risk is higher, more on the source of funds and wealth, and senior management approval inside the bank.

The checks continue after opening. Banks must keep this information up to date and compare your transactions with what they know of your business, so a new partner or a new line of activity may bring fresh questions. They keep the records for ten years, and the law forbids them to tell anyone whether they have filed a suspicious transaction report with the Qatar Financial Information Unit.

Penalties

Two laws set the penalties, and the Ministry can also take administrative measures against a company in breach.

From Law No. 1 of 2020 (Arts. 11 and 12) and Law No. 20 of 2019 (Arts. 87 and 87 bis, the latter added by Decree-Law No. 19 of 2021), checked 21 Oct 2026.
What happensPenalty in the law
Not keeping an accurate, up-to-date beneficial owner register, or not giving the Ministry a copyUp to two years in prison and a fine of up to QAR 500,000, or one of the two; the company itself faces the fine
Knowingly giving false beneficial owner information to a bank, an adviser covered by the AML Law or an authorityUp to three years in prison and a fine of up to QAR 500,000, or one of the two
A nominee who wilfully fails to disclose who they act forUp to one year in prison and a fine of up to QAR 100,000, or one of the two
Breach of the register rules (administrative measures)Orders and written warnings, suspension of managers or of the licence for up to a year, or cancellation of the licence and removal from the register

The figures are the maximums the laws allow; a court decides any prison term or fine.

How we help

We help you map your ownership chain up to the people behind it, prepare the beneficial owner declaration for your CR application or renewal, set up the three registers the Ministry expects, and keep a list of the changes that start the 30-day clock. We prepare the same ownership file for your bank. A lawyer or accountant reviews any structure with nominees, trusts or foreign holding companies, and the Ministry and the bank make their own decisions.

Can a company be the beneficial owner?

No. The beneficial owner is always a natural person. Where a partner is a company, the register looks through it to the people who own or control it, so a foreign parent company’s own shareholders may need to be declared.
