CR amendment in Qatar for partners, activities and capital

CR amendment in Qatar: adding or removing a partner, changing activities, capital or managers, and the Single Window steps for each change.

Updated 23 October 2026 · 10 min read

In short

A CR amendment in Qatar is made through the Single Window’s Comprehensive Update service. It covers the trade name, legal form, activities, capital and ownership, managers, location and the contract. The CR fee is QAR 300 per request. The law asks for any change to be recorded within 30 days, and an amended memorandum must be in Arabic and notarised.

What counts as a CR amendment

Your company’s entry in the commercial register records its trade name, legal form, activities, capital, partners and their shares, managers and address. Article 9 of the Commercial Register Law (Law No. 25 of 2005) says that when any of that data changes, whoever is entered in the register must ask for the change to be recorded within 30 days of the contract, judgment or event behind it. The Ministry of Commerce and Industry (MOCI) repeats the duty in its list of business obligations: update the commercial register and licence data upon any change.

On the Single Window, all of these changes go through one service, Comprehensive Update. A request can hold a single action or several. From there the portal works out the fees and attachments, opens a case with each authority involved, and collects signatures if the contract changes.

Adding or removing a partner

The Single Window describes three ways a partner joins an existing company: buying shares from the company, investing in it, or buying out an existing partner. A partner leaves by a contract selling their shares, or through the courts. Partners are changed on the main CR only; a partner cannot be added to a branch, because the branch belongs to the parent company.

For a limited liability company, the Commercial Companies Law (Law No. 11 of 2015) sets the order of events. A partner transfers shares by an official document, to another partner or to an outsider, on the terms in the memorandum (Article 237). The transfer binds the company and third parties only from the date it is entered in the company’s partners’ register and in the commercial register. Unless the memorandum says otherwise, a partner selling to an outsider for a price must first notify the other partners through the manager, and each of them may take the shares at their real price on the same terms within 30 days (Article 238). Shares that pass to heirs are outside this right (Article 239).

From the Commercial Companies Law, read in Arabic on Al Meezan, checked 21 Oct 2026. The English summary is ours; a lawyer confirms it for your company.
Company formWho must agree to the changeArticle
Limited liability companyPartners holding three-quarters of the capital to amend the memorandum, unless it asks for more; all partners to increase the partners’ obligationsArt. 258, as replaced by Law No. 8 of 2021
General partnershipAll partners for a share transfer, unless the contract sets the terms; every amendment of the contract is unanimous, entered in the commercial register and summarised in an Arabic daily newspaperArts. 25, 28 and 34
Shareholding companyThe extraordinary general assembly; its approval is entered in the commercial registerArt. 137

If the change takes non-Qatari ownership above 49% of the capital, the Single Window asks for a non-Qatari investment licence amendment application on MOCI’s template, with a CV for each partner or owner. MOCI’s Invest in Qatar Center reviews the amendment, and the amended CR is issued once it is approved. If a partner is a minor, the approval of the General Authority for Minors Affairs is attached.

Changing or adding activities

A company may only carry on activities recorded in its register entry and trade licence; MOCI does not allow anything else. So a new line of business needs an amendment first. Start with the Single Window’s Business Activities Search, where each activity has a page with its CR fee, its permit fee for each type of location, the nationalities allowed and any approval needed. Check two more things. Some activities cannot be combined on one CR. Since the trade name has to reflect what the company does, a new activity can bring a new name with it.

Legal form or caseWhat the Single Window asks for
Shareholding companyMinutes of the extraordinary general assembly approving the amendment
LLC, general or limited partnershipThe partners’ approval under the memorandum and articles; for an added activity, collective pledges signed by the partners
One-person LLC or individual establishmentThe owner’s consent
Regulated activityA valid licence or approval from the regulator, unless you request it through the Single Window in the same application
CR under a block decreeA no-objection letter from each entity with an active block on the CR

Changing capital or managers

To raise or cut an LLC’s capital, you need partners holding three-quarters of it. That is the majority that amends the memorandum, and the memorandum may set a higher one (Article 258). Shareholding companies decide in an extraordinary general assembly, and the decision is entered in the commercial register (Article 137). The company contract changes in both cases, which brings back the Arabic and notarisation rule.

Changes of manager have their own rule in Article 242. A decision that changes an LLC’s managers or limits their powers binds third parties only once it is entered in the commercial register. Article 258, in its 2021 text, adds that the general assembly may authorise the manager to sign the amended memorandum, by the same three-quarters majority. On the Single Window, a manager must hold a valid Qatari ID. Someone who does not yet live in Qatar cannot be listed as manager until they have one.

Location

Moving premises needs the papers a new commercial permit would need: the title deed or rental agreement declaration, the building completion certificate and, at 250 square metres or more, a Civil Defence certificate.

Trade name

Same naming rules as a first reservation.

Authorised signatory

In an individual establishment, anyone signing other than the owner needs the owner’s power of attorney.

Legal form

Turning a sole proprietorship into an LLC, for example, is another update action.

How to apply for a company amendment on the Single Window

The Single Window home page lists the service as Company Amendment; the request itself runs through Comprehensive Update.

  1. Log in

You need a Tawtheeq account and a valid Qatari ID, and you must be listed in the establishment. The establishment needs at least one active CR or permit.

  2. Choose the actions

Tick every change in one request: partners, activities, capital, managers, location, name or contract.

  3. Attach the documents

The portal lists what each action needs. Anything issued outside Qatar must be attested by the Ministry of Foreign Affairs and by the Qatari embassy in the country that issued it.

  4. Review

The file goes through an automatic check on the Single Window, then the government entities concerned review and decide it.

  5. Sign the memorandum

If the contract changes, the partners sign it digitally, on the portal or at a booked appointment.

  6. Pay and receive

Pay the fees online. The updated certificates and original copies are issued electronically.

After the amendment: licence, establishment card and bank

If the change touches the commercial permit (a new activity or address, say), the Single Window charges for the permit change and issues the updated permit together with the CR. A CR printed online counts as an original on the Single Window, and other parties accept it without Ministry attestation.

The establishment card is a separate Ministry of Interior record. To update it in the Metrash app, the owner goes to General, then Establishment, picks “Update/Renew Establishment”, checks the details and pays the fee shown. None of the pages we read says whether a CR amendment updates the card by itself, so after every change, compare the card with the new CR.

Shop front and papers

The trade name and CR number must appear in Arabic on the shop front and on all correspondence and business papers (CR Law, Art. 6). A new name therefore means new signs and stationery.

Bank

Banks keep their own record of owners and signatories. Send yours the amended CR and memorandum, and ask what else it needs to update the account.

Staff residence

Renewing a staff residence permit requires the company’s establishment ID, so get the card in line with the company before the next renewal is due.

Common questions about CR amendments

How long do I have to record a change to my CR?

Thirty days. MOCI also lists updating the register and licence data after any change among its business obligations.

How do I add a partner to my CR in Qatar?

The new partner buys shares from the company or from an existing partner, or invests in the company. In an LLC the transfer is made by official document and counts once it is entered in the partners’ register and the CR, and the memorandum amendment needs partners holding three-quarters of the capital. The request goes through Comprehensive Update.

How much does a CR amendment cost?

The Single Window lists QAR 300 per request for the CR amendment, QAR 300 for each activity added and QAR 100 when the change affects the commercial permit. Where the contract changes, attestation is charged as for a new contract, for example QAR 500 for an LLC. Regulated activities may add the regulator’s fees.

Can several company amendments in Qatar go in one request?

Yes. Company amendments can be combined, because the Single Window’s Comprehensive Update service accepts one or several actions in a single transaction, such as a new partner, an added activity and a new manager. The QAR 300 CR amendment fee is charged once per request, plus QAR 300 for each activity added.

Does a memorandum amendment have to be in Arabic?

Yes. Article 6 of the Commercial Companies Law is clear on this: the company contract and every amendment are made in Arabic and notarised, and a document missing either is void. You can add a translation, in English for example; if it says something different, the Arabic version prevails.

Can the other partners stop a share sale to an outsider?

They can buy the shares first. Unless the LLC’s memorandum says otherwise, the selling partner notifies the others through the manager, and each may take the shares at their real price on the same terms, with the company’s auditor valuing them if the price is disputed. After 30 days without a claim, the seller is free to sell.

What if non-Qatari ownership goes above 49% after the change?

The Single Window asks for a non-Qatari investment licence amendment application on MOCI’s template and a CV for each partner or owner. MOCI’s Invest in Qatar Center reviews the amendment, and the amended CR is issued if it is approved.

Can I add a partner to a branch only?

No. The Single Window explains that a partner cannot be added to a branch, because a branch is a subsidiary of the parent company. A partner joins the company itself, on its main CR.
